NeedWord Terms of Service

These Terms of Service ("Terms") govern your use of NeedWord, a language practice service operated by NaiadAI, LLC ("NaiadAI", "NeedWord", "we", "us"). By creating an account, subscribing, purchasing or receiving extra usage, or using NeedWord, you agree to these Terms.
If you do not agree, do not use NeedWord.
1. The service
NeedWord provides AI-assisted language practice, including text and voice conversation, speech recognition, text-to-speech, translation and simplification tools, flashcards, review scheduling, account export, and related learning features.
NeedWord is an educational tool. AI-generated content may be inaccurate, incomplete, delayed, or unsuitable for your situation. You are responsible for checking important information before relying on it.
2. Where NeedWord is offered
NeedWord is currently offered only to residents of the United States and Canada. By using NeedWord, you represent that you are a resident of the United States or Canada and that your use is lawful where you are located.
We may block, suspend, or cancel access if we believe an account violates this restriction or is being used to evade geographic, billing, legal, or security controls.
3. Eligibility
You must be at least 16 years old and old enough to consent to these Terms in your jurisdiction. If you are under the age of majority where you live, you may use NeedWord only with permission from a parent or legal guardian.
NeedWord is not directed to children under 13.
4. Accounts
You are responsible for your account, your sign-in credentials, and activity under your account. Keep your account secure and notify us promptly if you believe it has been compromised.
You may not share, sell, transfer, or sublicense your account.
5. License to use NeedWord
Subject to these Terms, NaiadAI gives you a limited, personal, non-exclusive, non-transferable, revocable license to use NeedWord for lawful language learning. You may not copy, resell, sublicense, reverse engineer, scrape, or commercially exploit NeedWord except where these Terms or applicable law expressly allow it.
6. Subscriptions, trials, extra usage, and billing
NeedWord may be offered through paid subscriptions, trials, promotional access, and extra usage grants or purchases. Prices, included usage, trial terms, renewal terms, and taxes are shown at checkout or in the billing flow before purchase.
Payments are processed by Stripe on the web and by Apple for iOS in-app purchases. By purchasing through NeedWord, you authorize the applicable payment processor and NaiadAI to charge your selected payment method or Apple ID for the amounts shown at checkout, including applicable taxes.
Subscriptions renew automatically until canceled. You can cancel online through Settings > Billing, the Stripe billing portal, or Apple subscription settings for subscriptions purchased through Apple. If the relevant path is unavailable, contact [email protected] and we will help you find the correct cancellation path. Cancellation takes effect at the end of the current billing period unless the product or applicable law says otherwise.
Extra usage may be granted by NeedWord or, if offered in the product, purchased under the terms shown at purchase. Unused extra usage stays on your account if you cancel and later resubscribe. It may be forfeited if your account is deleted or terminated for violation of these Terms, the Acceptable Use Policy, or legal requirements.
If a payment fails, we may limit or suspend access until the issue is resolved.
7. Refunds
Except where required by law or expressly stated at checkout, payments are non-refundable. If you contact us within 30 days after your first paid subscription charge, NaiadAI will refund that first subscription charge when we control the refund path. Apple in-app purchase refunds are handled through Apple. Extra usage purchases are refundable only where required by law or where we expressly approve a refund.
8. Your content
"Your content" means the text, audio, flashcards, settings, prompts, translations, custom instructions, and other material you submit to or create in NeedWord.
You retain ownership of your content. You grant NaiadAI a limited license to host, store, copy, process, transmit, display, and create operational derivatives of your content solely as needed to operate, secure, support, and improve NeedWord for you and to comply with law.
NeedWord does not use your conversations, flashcards, recordings, transcripts, or other learning content to train AI models, and we do not authorize our AI providers to train on that content.
You represent that you have the rights needed to submit your content and use it with NeedWord.
9. AI output
NeedWord may generate the same or similar output for different users. Subject to these Terms, you may use NeedWord's outputs for your personal, lawful language-learning purposes. Outputs may be inaccurate, incomplete, offensive, or not suited to your needs, and you are responsible for evaluating them before relying on them.
Do not rely on NeedWord outputs for professional advice, emergency situations, immigration, citizenship, legal, medical, financial, safety, or formal examination decisions.
10. Feedback
If you send us ideas, suggestions, bug reports, or other feedback, you grant NaiadAI a perpetual, worldwide, royalty-free license to use that feedback without restriction or compensation to you. This does not give us ownership of your private learning content.
11. Data export and account deletion
NeedWord provides account export and deletion tools in Settings where available. Exports may include profile data, conversations, flashcards, review history, and other account data in the formats supported by the product at the time of export.
Deleting your account removes app access and schedules permanent deletion after the grace period shown in the product. Some records may remain for limited periods where needed for billing, tax, accounting, fraud prevention, security, legal compliance, backups, or deletion audit records.
Unused extra usage is forfeited when an account is deleted.
12. Acceptable use
You must follow the Acceptable Use Policy. You may not misuse NeedWord, violate the rights of others, attempt to bypass restrictions, compromise the service, or use NeedWord for unlawful, harmful, abusive, or infringing activity.
13. Sanctions and export compliance
You may not use NeedWord if you are subject to sanctions, embargoes, or export control restrictions that prohibit your use of the service. You may not use NeedWord in or for the benefit of any country, organization, or person where doing so would violate applicable trade, sanctions, or export-control laws.
14. Third-party services
NeedWord relies on third-party services, including sign-in, billing, AI, voice, hosting, storage, monitoring, and email providers. Their services may be subject to their own terms and policies.
We are not responsible for third-party services that are outside our control, but we choose providers to support the NeedWord service and privacy posture.
15. Electronic communications
You agree that NaiadAI may communicate with you electronically about your account, billing, security, legal notices, service changes, exports, deletion, and support. Electronic notices satisfy any legal requirement that a notice be in writing, to the extent permitted by law.
16. Service changes and availability
We may add, change, suspend, or remove features, plans, providers, usage limits, and service availability. We may also perform maintenance or respond to outages, security issues, provider failures, or legal requirements.
If we make a material change to a paid subscription, we will provide notice appropriate to the change and any cancellation rights required by law.
17. Termination
You may stop using NeedWord at any time and may delete your account where that tool is available. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, fail to pay amounts due, misuse the service, or if we are required to do so by law.
18. Indemnity
To the fullest extent permitted by law, you will defend, indemnify, and hold NaiadAI harmless from claims, damages, losses, liabilities, costs, and expenses arising from your content, your use of NeedWord, or your violation of these Terms or the Acceptable Use Policy. This section does not apply where prohibited by applicable consumer-protection law.
19. Disclaimers
NeedWord is provided "as is" and "as available." To the fullest extent permitted by law, NaiadAI disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and error-free operation.
NeedWord does not guarantee language-learning outcomes, pronunciation outcomes, fluency, test results, or the accuracy of AI-generated content.
Nothing in these Terms limits rights that cannot be waived under applicable consumer-protection law.
20. Limitation of liability
To the fullest extent permitted by law, NaiadAI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, or service interruption.
To the fullest extent permitted by law, NaiadAI's total liability for claims arising out of or relating to NeedWord or these Terms is limited to the greater of (a) the amount you paid to NaiadAI for NeedWord in the 12 months before the claim or (b) USD 50.
21. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules.
Any dispute will be handled individually, not as a class action, except where applicable law gives you a non-waivable right to proceed otherwise. Nothing in these Terms limits non-waivable consumer, privacy, small-claims, or public injunctive-relief rights available under applicable law.
22. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will provide notice appropriate to the change. Continued use of NeedWord after the effective date of updated Terms means you accept the updated Terms.
